Corporate governance

When we talk about Corporate Governance, we mean the set of tools, rules, relations, processes and business systems aimed to a correct and efficient management of the company, intended as a system of compensation between the interests (potentially divergent) of minority shareholders, shareholders of control and directors of a company.
The structure of Corporate Governance in Sciuker Frames expresses the rules and processes with which decisions are made, the ways in which company objectives are decided as well as the means for achieving and measuring of the results obtained, respecting the interests of all stakeholders involved.

Marco Cipriano, President and CEO

Marco Cipriano, after obtaining scientific secondary school diploma in 1993, studied at the Faculty of Business Administration of the University of Salerno. In 1999 he began his entrepreneurial activity at the Company, where he held the position of director for the period 2013-2015. In parallel with his commitment to the Company, Marco Cipriano founded the Marco Cipriano Academy in 2017. As of the date of the Admission Document, Marco Cipriano is a shareholder of H. Arm, as well as a shareholder of Sciuker Frames S.p.A.

Romina Cipriano, Vice-president

Romina Cipriano obtained a scientific secondary school diploma in 1994 and since 1996 she has undertaken, together with her brother Marco, her own entrepreneurial activity at the Company, both as a partner and as its administrator. As of the date of the Admission Document, Romina Cipriano is a partner of H. Arm, as well as a shareholder of Sciuker Frames S.p.A.

Riccardo Maria Monti, Non-executive director

Riccardo Maria Monti has a degree in Economics and Commerce from the University of Naples, with approval and publication of the thesis, since 2007 he has been Treasurer on the Board of the Robert Kennedy Foundation, with whom he has worked on projects in Eastern Europe and the Middle East. From 1998 to 2012 he directly managed the development and internationalization of the Value Partners Group, gaining in-depth knowledge of the Italian industrial system both in the traditional sectors of Made in Italy and in areas with high technological content and how to develop its international presence. Riccardo Maria Monti has worked with corporations and governments of over 40 countries, for projects in the finance, telecommunications, infrastructure and manufacturing sectors, particularly in large emerging markets (Latin America, Asia, Middle East), taking care of numerous international expansion projects. From July 2012 to June 2016 he was Vice President of Simest and from March 2012 to April 2013 he was Director for Internationalization of the Minister of Economic Development, Infrastructure and Transport Corrado Passera. From April 2012 to June 2016 he was President of the ICE – Agency for the Abroad Promotion and Internationalization of Italian Companies and Board Member of Assocamerestero, the association of all Italian chambers of commerce abroad. From April 2016 to July 2016 he was Chairman of Grandi Stazioni S.p.A to follow the final phase of the privatization process. Since August 2016 he has been Chairman of Italferr S.p.A, a company of the Ferrovie dello Stato Italiane group. In 2018 he joined the Board of Directors of Triboo, a company active in the e-commerce and digital advertising sector.

Luca Bottone, Non-executive director

Luca Bottone for over 15 years has held the role of executive for various financial intermediaries, has managed complex projects of strategic growth, business development and operational optimizations, progressively improving a wide range of technical and transversal skills. Strong educational background with an International PhD in Financial System Regulation and Risk Management Processes. Main speaker at conferences and external university lectures. Passionate about creating value for companies through financial expectations, perceptions and emotions.

Diana D’Isanto, Indipendent director

Diana D’Isanto has a degree in Literature and Philosophy and has decades of experience in sustainability strategies, reporting, socio-environmental communication and stakeholder engagement, in the design and development of environmental management, quality and safety systems. She is accredited by the Global Reporting Initiative as a trainer on non-financial reporting.

Giuseppe Fotino, Chairman of the Borad of Statutory auditors

Giuseppe Fotino graduated in Law from the University of Salerno in 1980. He is licensed to practice as a lawyer and has been enrolled, since 1984, in the Avellino Bar. Fotino obtained in 2014 the chair of Management at the Faculty of Economics – University of Rome La Sapienza – Business Sciences. The Chairman of the Board of Statutory Auditors continued his professional training thanks to attending various specialization schools, such as the SDA BOCCONI in Milan, the World Trade Center in Milan, the “Anselmi” National School of Notaries in Rome and the Guido Capozzi School in Naples. . In parallel with his professional activity at Studio Fotino, he has held and continues to hold various positions within the joint stock companies as director and auditor.

Alessandro Lazzarini, Statutory auditor

Alessandro Lazzarini graduated in 2003 with a degree in Economics and Commerce from the University of Naples “Parthenope” and has been registered, since 2007, in the Register of Statutory Auditors. He perfected his training by attending a master’s degree in tax law; he actively collaborates with the chair of Commercial Law of the University of Naples Federico II. Parallel to the activity of commercial, fiscal, legal, tax consultant at Studio Lazzarini e Associati, which he has been carrying out since 2007, he also holds the position of sole director of VM S.r.l., statutory auditor of Ricam S.p.A. and alternate auditor at Cartiera Partenopea S.p.A. and at the Neapolitan Center of Homeopathic Medicine S.r.l (CE.M.O.N.).

Pierluigi Pipolo, Statutory auditor

Pierluigi Pipolo graduated in Economics of International Commerce and Currency Markets at the Naval University Institute of Naples and obtained the qualification to exercise the profession of Chartered Accountant and the relative registration in the Register of Chartered Accountants and Experts Accountants of the Court of Naples in 2001. He perfected his training by attending a master’s degree in tax law and various advanced in-depth and refresher courses for auditors. Parallel to the activity of commercial, fiscal, legal, tax consultant at Studio Associati Pipolo, he holds the position of liquidator of Multifilm S.r.l., statutory auditor of Dominion Hosting Holding S.p.A. and YOU LOG S.r.l., as well as the position of sole director of the companies Praedium S.r.l. and STEF S.r.l.

Marco Lazzarini, Alternate auditor

Marco Lazzarini graduated in Economics and Commerce in 2005 at the University of Naples “Parthenope” and obtained the qualification to exercise the profession of Chartered Accountant and the relative registration in the Order of Chartered Accountants of Naples in May 2010. He is also registered in the Register of Statutory Auditors held by the Ministry of Economy and Finance. Parallel to the activity of commercial, fiscal, legal, tax consultant at Studio Lazzarini e Associati, which he has been carrying out since 2009. he also holds the position of statutory auditor and statutory auditor at Ricam S.p.A.

Valentina Prisco, Alternate auditor

Valentina Prisco graduated in Economics and Commerce in 1997 at the University of Naples “Federico II” and was licensed to practice as a Chartered Accountant and Auditor in 2001. She specializes in the field of fiscal-tax consultancy and administrative – accounting management of companies with particular reference to joint-stock companies.
